USER-GENERATED CONTENT TERMS OF USE

PLEASE READ THESE TERMS CAREFULLY BEFORE PROVIDING YOUR APPROVAL.

Acceptance and Incorporation of Terms

By responding with #YesJoolBaby (or otherwise explicitly agreeing in writing or through digital response) in connection with a request from or on behalf of Jool Baby LLC (“Jool Baby,” “we,” “us,” or “our”), you acknowledge and agree that these Terms constitute a binding legal agreement between you and Jool Baby.

If these Terms are delivered via message, link, or other digital format, they are incorporated in full by reference into your acceptance.

“You” or “Your” refers to the individual rights holder of the Content subject to these Terms.

1. Content Request

Jool Baby may request permission to use content you have posted on third-party platforms including but not limited to Instagram, Facebook, Pinterest, YouTube, Snapchat, TikTok, and X (formerly Twitter) (“Third-Party Platforms”).

We may use your Content in its original form or in an edited, adapted, or repurposed format created by our marketing team.

2. Definition of Content

“Content” includes any photo, image, video, audio, text, graphic, illustration, or other material you have posted or shared online, including associated elements such as:

  • Your name, likeness, image, voice, or appearance
  • Social media handles, usernames, profile images, and identifying information

3. License Grant

Jool Baby does not claim ownership of your Content.

However, by agreeing to these Terms, you grant Jool Baby and its affiliates, subsidiaries, licensees, agents, successors, assigns, and authorized partners a:

perpetual, irrevocable, worldwide, royalty-free, fully paid-up, non-exclusive, transferable, and sublicensable license

to use, reproduce, modify, adapt, edit, publish, distribute, display, perform, and otherwise exploit the Content for any lawful commercial or promotional purpose, including:

  • Social media content and community features
  • Paid advertising and digital ad campaigns (including paid social, influencer whitelisting, Spark Ads, and paid amplification)
  • Website and e-commerce pages
  • Email marketing, CRM, and lifecycle marketing
  • Retail, packaging, and in-store displays
  • PR, press, and brand communications
  • Any other marketing or informational purpose
  • Any media format now known or later developed

You acknowledge that Jool Baby may edit, crop, add overlays, captions, or otherwise modify the Content at its discretion without further approval.

4. Paid Usage and Whitelisting Rights

You expressly agree that this license includes the right for Jool Baby (and its partners or agencies acting on its behalf) to:

  • Run paid advertisements using your Content
  • Use your social media handles or identity for ad attribution or creator whitelisting
  • Promote, boost, or amplify Content across advertising platforms
  • Create derivative ad variations for testing and optimization

No additional consent or approval will be required for such use.

5. Representations and Warranties

By agreeing, you represent and warrant that:

a) You are the sole owner of the Content or have full authority to grant the rights described above
b) You are legally able to enter into this agreement
c) You are at least 18 years of age (or age of majority in your jurisdiction)
d) All individuals appearing in the Content are 18+ or you have obtained verifiable parental/guardian consent for minors
e) The Content does not infringe any third-party rights (including copyright, trademark, privacy, or publicity rights)
f) No claims, disputes, or litigation exist relating to the Content
g) You have obtained all necessary permissions for locations or private property featured
h) Any statements about Jool Baby or its products reflect your honest opinion and actual experience

6. Waiver of Rights

To the maximum extent permitted by law, you waive any moral rights or similar rights in the Content, including rights of attribution or integrity.

You agree to release and hold harmless Jool Baby and its affiliates, partners, agents, and licensees from any claims arising from use of the Content, including but not limited to:

  • Copyright or intellectual property claims
  • Privacy or publicity rights claims
  • Defamation or reputational claims
  • Misappropriation or unauthorized use claims

7. No Obligation and No Compensation

You acknowledge and agree that:

  • Jool Baby has no obligation to use your Content
  • We may remove or stop using Content at any time
  • You will not receive payment, royalties, or compensation unless otherwise agreed in writing outside these Terms
